Terms of Engagement — QBCC Annual Reporting
These are the terms for our QBCC annual financial reporting preparation service in Queensland. They're written to be read, not skimmed past. If anything here doesn't suit you, say so before you pay and we'll talk about it.
1. Who we are and what this is
Deplexify ("we", "us") prepares documents and figures for Queensland building licensees from information the licensee gives us. For your annual reporting that means we take the figures off your own management accounts, do the arithmetic, show every step of the working, and hand you a pack you can check, use and re-run next year.
2. What this is not — please read this one
- Not an audit, a review, or any other assurance engagement. We prepare from the figures you provide. We do not audit them, review them, examine your records or your bank statements, or independently verify anything, and we express no opinion and no assurance of any kind on them. Every document in your pack says so on its face.
- Not an MFR report. A decrease in net tangible assets of more than 30% (Categories 1–3) or more than 20% (Categories 4–7) requires a new MFR report prepared by a qualified accountant, as does an increase in your approved maximum revenue or a change of financial category. Your pack detects that trigger and states it plainly. It does not satisfy it, and nothing in it should be handed to QBCC as though it did. Where a trigger fires we'll tell you and we can quote that work separately.
- Not tax advice, legal advice, financial advice or investment advice. Nothing in the pack is issued under a professional designation and nothing in it is a recommendation about your affairs.
- Not general purpose financial statements. Categories 4 to 7 lodge signed general purpose financial statements, which is a financial statement preparation engagement rather than a self-serve pack. See section 6.
- Not a lodgement service. See section 3.
3. You lodge, and you sign
Read the declaration on your own screen before you sign it. What is on that screen is what binds you; our walkthrough summarises what it attests, and a summary is not the thing itself.
4. What you get
Generated from the answers you give on our questionnaire, and delivered as editable documents:
- Your MFR position — net tangible assets and current ratio, computed line by line off your own balance sheet against the thresholds for your category, with every calculation shown, and a pass-or-attention call on each. Plus the net tangible assets decrease trigger, tested against what you last reported to QBCC.
- Your annual reporting figures — the exact figures to enter in myQBCC, and for the categories that lodge internal management accounts, the profit and loss statement and balance sheet in the form those accounts take. With integrity checks: does the balance sheet balance, does revenue agree to itself.
- A lodgement walkthrough — who lodges, by when, the steps involved, what the declaration attests, and an honest account of what happens if it is late.
- A calendar — this year's deadline, next year's, and the events in between that change your position, each paired with your own numbers.
The SC1/SC2 company tier is a smaller pack, matching a smaller obligation: declaration preparation, the minimum financial requirements self-check, and the calendar. SC1 and SC2 companies lodge a declaration rather than management accounts.
Every computed number shows its working. That is deliberate and it is most of what you are paying for. A figure on its own is a number to trust; a figure with its arithmetic beside it is a number you can check — and you are the one signing the declaration over it.
4a. If you don't have to lodge, we'll tell you and refund you
5. Fees
One-off, in Australian dollars, per licensee per reporting year:
- AU$149 — SC1 or SC2 company: declaration preparation, MFR self-check and calendar. You lodge by 31 March.
- AU$395 — Categories 1 to 3: the full four-document pack described in section 4. You lodge by 31 December.
- AU$495 — Categories 4 to 7: the same four-document pack, plus the debtor ageing reconciliation your band must lodge. It works from the general purpose financial statements you already have — see section 6. You lodge by 31 December.
- AU$795 — the full pack for your category, checked by an accountant before you lodge, with every attention line talked through with you.
- Payable in full before we generate anything. Nothing is built until your payment clears.
- This is launch pricing and we may change it. The price you were shown when you accepted these terms is the price you pay.
- The fee covers one licensee and one reporting year. A second licensed entity is a second pack, and next year's is a separate engagement at the then-current fee.
- No hourly billing and no add-ons. The fee is for the work in section 4, not for a particular outcome.
- QBCC's own fees — licence fees, late fees, anything they charge you — are separate, are nothing to do with us, and you pay them directly.
6. Categories 4 to 7, and when we hand you on
Categories 4 to 7 lodge signed general purpose financial statements. Your annual report itself is a self-declaration exactly as at every other category, and the AU$495 pack prepares it — the minimum-financial-requirements arithmetic with every step shown, the debtor ageing reconciliation, the figures for myQBCC and your calendar. What the pack does not do is produce the general purpose statements themselves — those come from your own accounts or your own accountant, and the pack says so on its face. If you don't have them, we'll say so plainly rather than build a pack around figures that don't meet your band's standard.
The same goes for anything else that turns out to need a qualified accountant's report rather than preparation work — an MFR report on a category change, an approved maximum revenue increase, or a net tangible assets decrease over the trigger. Your pack names it. We can quote that work separately, and you're under no obligation to take it from us.
7. Timing — what "one working day" means
Your pack is delivered within one working day of your payment clearing. Working days are Queensland business days.
If something in your answers doesn't add up — a balance sheet that doesn't balance, revenue that disagrees with itself, a category that doesn't match your figures — we ring or email you before we build rather than guess. That pauses the clock until you answer, and the one working day then runs from your answer. Guessing a number that goes into a document you sign a declaration over would be far worse than a day's delay.
If we hear nothing for 30 days we'll build the pack from what we have, mark every gap in place, and send it.
8. Refunds
- Full refund, no questions, up until we start generating your pack. Tell us to stop and we stop.
- Once your pack has been delivered the fee is non-refundable. That is the entire work of this service — there is no later stage for the fee to sit in.
- Full refund if you turn out not to need this at all — an exempt SC1 or SC2 individual licensee (section 4a), or a Category 4 to 7 licensee (section 6) — at whatever stage we find out.
- If we fail to deliver your pack at all, for reasons within our control, we refund in full.
- If a figure in your pack is wrong because of our arithmetic or our treatment, we fix it free and immediately, however many times it takes. If it is wrong because the figure you gave us was wrong, we'll rebuild it from the corrected figure — also free, the first time.
Because the whole thing happens within a working day, we'll say plainly what section 9 means here: by asking us to start immediately you're asking us to begin before any cancellation period has run, and the point of no refund is delivery. If you'd rather have a cooling-off period first, tell us and we'll hold your order until you say go.
9. Starting straight away
Reporting deadlines are fixed and usually close, so we start as soon as you've paid. By accepting these terms you expressly ask us to begin immediately, and you accept that once your pack is delivered the fee is non-refundable under section 8. If you'd rather we waited, tell us and we will.
10. Your responsibilities
- The information you give us must be true, complete and current. Every figure in your pack traces to an answer you gave. If an answer was wrong, the figure built on it is wrong too — which is exactly why the working is shown throughout.
- You read the pack before you rely on it, and you check the working. It is prepared for you to check, not to take on trust.
- You lodge, and you sign your own declaration (section 3).
- Meeting the minimum financial requirements — continuously, not just at your balance date — is your obligation and stays yours. Your pack tells you where you stood on the figures you gave us, as at the date those figures describe. It cannot tell you where you stand today.
- Anywhere your pack says an answer is still needed from you, it is still needed from you. We mark gaps rather than filling them in.
11. Liability
- Our total liability to you, for anything arising out of this engagement, is limited to the fee you paid us.
- We're not liable for a QBCC decision, for a penalty, an infringement, a late fee or a disciplinary action, for work you didn't win, or for profits missed, however they arise.
- We're not liable for QBCC changing its requirements, its thresholds or its deadlines.
- Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that can't lawfully be limited — including your rights under the Australian Consumer Law, which nothing in these terms excludes, restricts or modifies.
12. Your information
- We collect and hold your contact details, your licence details and the financial information you give us, in order to prepare your pack. That's the only thing we use it for.
- We share it with nobody. We don't send it to QBCC — you lodge it yourself — and we don't send it to anyone else, unless the law requires it. On the AU$795 tier it is read by the accountant doing the check, and by nobody else.
- We keep your file for 7 years, so next year's pack can compare against a figure we already hold rather than asking you to find it, then delete it.
- You can ask for a copy of your file, or ask us to delete it, at any time: [email protected].
13. General
- These terms are the whole agreement between us, and replace anything said beforehand.
- Either of us may end the engagement in writing; section 8 governs what happens to the fee.
- We may use subcontractors, and remain responsible for their work.
- This engagement is governed by the law of Queensland, Australia.
Questions before you accept? Ask. We'd much rather answer now than argue later — [email protected].
